COMPANY SECRETARY ’S EMPLOYMENT TERM: Five - Year Fixed -Term Contract The role reports directly: CEO of the NHC The National Heritage Council in Pretoria has an opportunity at a senior management level for a 5 year fixed- term contract. RESPONSIBILITIES: • Governance and Policy Development • Manage all Council Charter and Committee meetings, logistics, attend and record minutes of all Council and committee meetings and facilitate board communications and aid directors in implementing the decisions • Monitor corporate governance developments and assist the Council in tailoring governance practices to meet the Council’s needs and shareholder’s expectations • Guide the NHC in the development and implementation in good corporate governance and ensure that the directors adhere to the highest governance standards as detailed in the King Report (King iv) • Preparing the schedule of Council committee meetings for the year including the agendas for those meetings in conjunction with the Chairperson and the Accounting Authority • Identify training requirements for inexperienced or new council members and ensure that there is an ongoing programme to keep council members well informed of developments in the Entity and in respect of matters relevant to their responsibility generally • Develop and maintain a Council Charter to ensure that decisions can be measured against it • Comply with all the statutory provisions of the Companies Act, including the lodgement of all documents with the Companies and intellectual Property Commission and the maintenance and updating of the Company’s register of members • Ensure that Council Committee members’ charters and terms of reference are developed and maintained • Ensure compliance with principles of corporate governance and other relevant legislation • Draft and review Council Charter and Committee terms of reference • Identify changes in legislation and conduct periodic reviews on all organisational policies Legal Services: • Coordinate the litigation process including but not limited to providing ongoing support in relation to various litigious matters including litigation mitigations processes such as settlements • Provide professional and credible legal advice to all NHC’s units and to ensure that legal problems are avoided, risk is mitigated, and organisational effectiveness is enhanced • Anticipate legal risks facing the Organisation, provide the necessary legal recommendations and action accordingly • Monitor, comment and advise the NHC on national legislative initiatives and programmes and to assist all units with relevant legislation to ensure correct interpretation and application of legislation Financial Management: • Lead and manage the unit’s budget. • Submit monthly budget status. • Ensure effective corporate governance within the MFMA/ PFMA as a basis. QUALIFICATIONS: • Legal Qualification (AT NQF Level 8) • Admitted as an attorney or an advocate of the High Court of South Africa Experience: • 8 years’ relevant work experience as an Admitted Attorney or Advocate of which • 5 years at Senior Management Level.
